Terms of Service
Acceptance of Terms
These Terms of Service (the “Terms”) form a binding agreement between you and SkillValit (“SkillValit”, “we”, “us”) and govern your access to and use of the SkillValit website, dashboard, API, and command-line tools (together, the “Service”). By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.
If you are using the Service on behalf of a workspace, you represent that you have authority to bind that workspace to these Terms, and “you” refers to that workspace. If you do not agree to these Terms, do not use the Service.

You must be at least 16 years old, or the age of digital consent in your jurisdiction, to create an account. The Service is intended for professional and business use and is not directed at children.
Registration
You can create an account with an email address and password, or by signing in through a supported identity provider (Google, Microsoft, or GitHub). You are responsible for the accuracy of the information you provide and for keeping your account credentials confidential.
Domain-based auto-join
If a workspace has verified an email domain that matches your email address, you may be added to that workspace automatically when you sign in. By signing up with a work email, you acknowledge that the workspace controlling that domain may manage your membership and access within its workspace.
You are responsible for all activity that occurs under your account. Notify us promptly at skillvalit@gmail.com if you suspect unauthorized use.

The Service is multi-tenant: skills, skill sets, and related data are scoped to a workspace. Each member of a workspace holds a role that determines what they can do:
- Viewer — can read skills and skill sets within the workspace.
- Editor — can additionally create, edit, and remove skills and skill sets.
- Owner — can additionally manage members, billing, and workspace settings.
Workspace owners are responsible for managing their members, roles, and invitations, and for ensuring that their members' use of the Service complies with these Terms. The content and configuration within a workspace are controlled by that workspace, not by SkillValit.
Back to topSubscriptions & Billing
SkillValit offers free and paid subscription plans. Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing to a paid plan, you authorize us, through Stripe, to charge the applicable fees to your payment method.
Payments and processing
All card payments are handled by Stripe. SkillValit does not receive or store your full payment card number.Your use of paid features is also subject to Stripe's terms. You can manage or cancel your subscription and update payment details through the Stripe Customer Portal linked from your billing settings.
Upgrades, downgrades, and proration
When you upgrade between paid tiers (for example, from Team to Business), we show you a preview of the prorated amount before you confirm, and charge only the prorated difference for the remainder of the current billing period. Plan changes take effect according to the preview shown at the time of purchase.
Cancellation and refunds
You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access to paid features until then. Except where required by law, fees already paid are non-refundable. We may change our fees on prospective notice; changes do not affect the period you have already paid for.

“Your Content” means the skills, skill sets, descriptions, prompt bodies, comments, tags, and other material you or your workspace create or upload to the Service.
You own your content
As between you and SkillValit, you and your workspace retain all rights to Your Content. These Terms do not transfer ownership of Your Content to us.
License you grant to us
You grant SkillValit a worldwide, non-exclusive, royalty-free license to host, store, copy, display, transmit, and serve Your Content solely as needed to operate, maintain, secure, and provide the Service to you and your workspace — including delivering skills through the API and CLI, generating version snapshots, and rendering the dependency graph. This license exists only for the purpose of running the Service and ends when Your Content is deleted from our systems, subject to the retention described in the Privacy Policy.
You are responsible for Your Content and represent that you have the rights necessary to submit it and grant the license above, and that it does not infringe the rights of others.

You agree not to use the Service to:
- Break the law, or infringe the intellectual property or privacy rights of others.
- Upload malware, or author skills designed to damage systems or exfiltrate data without authorization.
- Attempt to access other workspaces' data, bypass role-based permissions, or probe or test the security of the Service without permission.
- Reverse engineer, resell, or misrepresent the Service, or abuse it in a way that degrades performance for others (for example, excessive automated requests outside documented API limits).
- Harass others or upload unlawful, hateful, or abusive content.
We may investigate suspected violations and suspend or restrict access to protect the Service and its users.
Back to topAPI & CLI Usage
The Service provides workspace-scoped API keys that authenticate requests from the SkillValit CLI (for example, npx skillvalit add my-org/my-skill) and related install endpoints. You are responsible for keeping your API keys secret. Any member of your workspace who holds a key can install that workspace's skills, so treat keys like passwords and rotate them if they may have been exposed.
You may use the API and CLI only within the documented rate limits and for their intended purpose. We may throttle, suspend, or revoke keys that are abused or that threaten the stability or security of the Service.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, or use the Service in a way that creates legal risk or harms others.
When an account, workspace, or skill is deleted, we perform a “soft delete”: the record is retained with a deletion marker and can be restored for a limited period before being purged, as described in the Privacy Policy. Provisions that by their nature should survive termination — including content ownership, disclaimers, limitation of liability, and governing law — survive.

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that skills or AI outputs will meet your requirements. You are responsible for reviewing skills before you rely on them.
To the maximum extent permitted by law, SkillValit will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, stop using the Service.

These Terms are governed by the laws of Thailand, without regard to its conflict-of-laws rules. The Service is operated by Skill Valit, an individual acting as a sole proprietor and based in Thailand. You agree to the exclusive jurisdiction of the courts of Thailand for any dispute arising out of or relating to these Terms, except where prohibited by applicable law.
